Terms of Service

Please read these Terms of Service carefully before using Cutonce. By accessing or using our platform, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and ZIGGY VENTURES TECHNOLOGIES LTD, a registered company operating the Cutonce platform (“Cutonce,” “Company,” “we,” “us,” or “our”), governing your access to and use of the platform located at https://app.cutonce.aiand any related services, features, or content (collectively, the “Service”).

By creating an account, clicking “Continue with Google,” or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” refers to both you individually and the organization.

2. Description of Service

Cutonce is an AI-powered stock research pipeline builder that enables users to automate stock research workflows using a visual, no-code interface. The Service includes:

• Pipeline Builder- A visual canvas to construct automated research pipelines combining data nodes (news, earnings, insider trading, analyst ratings, financial reports, and more) with AI analysis powered by Anthropic's Claude and other AI models.
• Data Nodes - Pre-built integrations with financial data providers that fetch and process market data, earnings call transcripts, SEC filings, analyst ratings, and similar information.
• Pipeline Sharing - The ability to share pipeline configurations with other users for collaborative research purposes.
• Credit System - A usage-based credit system that governs access to AI compute and data retrieval operations.

Cutonce reserves the right to modify, suspend, or discontinue any feature or the entire Service at any time with or without notice. We will endeavor to provide reasonable advance notice of material changes that affect paid users.

3. No Investment Advice / Important Disclaimer

Nothing on the Service should be construed as a recommendation or solicitation to buy, sell, hold, or trade any security, commodity, cryptocurrency, or other financial instrument. All pipeline outputs, AI analysis, scores, and other results generated by Cutonce are for informational and educational purposes only.

You acknowledge and agree that:

• All investment decisions are solely your own responsibility. Cutonce plays no role in your investment decisions and accepts no liability for the outcome of any investment you make based on output from the Service.
• Past performance data, AI-generated analysis, and pipeline outputs are not indicators or guarantees of future results.
• Investing in securities involves substantial risk, including the possible loss of the entire principal amount invested.
• You should consult a qualified, licensed investment professional before making any investment decision.
• Market data, financial figures, and AI-generated analysis may contain errors, omissions, or inaccuracies. You must independently verify any data before relying on it.
• Cutonce shall not be liable for any trading or investment losses you may incur as a result of using the Service or acting on any output produced by the Service.

4. AI-Generated Content Disclaimer

Content generated through Cutonce pipelines is produced by artificial intelligence systems, including Anthropic's Claude large language models and other AI providers. You acknowledge and agree to the following:

• AI outputs are not infallible. AI models can produce inaccurate, incomplete, outdated, biased, or misleading information. Outputs are not verified by licensed financial professionals before being displayed to you.
• No guarantee of accuracy. Cutonce makes no representations or warranties about the accuracy, reliability, completeness, or timeliness of any AI-generated analysis or pipeline output.
• Model limitations apply. AI models have knowledge cutoff dates and may not reflect current market conditions, company developments, regulatory changes, or macroeconomic events.
• Third-party AI terms apply.AI processing is performed via Anthropic's API and other AI providers. Use of the Service is also subject to those providers' usage policies.
• Independent judgment required. You agree to exercise your own independent judgment when reviewing any AI-generated content and to treat such content as one of many inputs in your own research process, not as a definitive source of truth.

5. Eligibility

To use the Service, you must:

• Be at least 18 years of age. The Service is not directed at minors.
• Have the legal capacity to enter into a binding contract under the laws of your jurisdiction.
• Not be prohibited from receiving services under applicable laws, including any sanctions lists or export control regulations.
• Not have had a Cutonce account previously terminated for violation of these Terms, unless we have expressly authorized you to create a new account.

Cutonce reserves the right to refuse service to anyone for any reason at any time.

6. Account Registration and Security

Access to the Service requires authentication via Google OAuth. By signing in, you authorize Cutonce to receive your Google account name, email address, and profile photo. We do not receive or store your Google password.

You are responsible for:

• Maintaining the confidentiality and security of your Google account.
• All activity that occurs under your Cutonce account.
• Immediately notifying us at contact@cutonce.ai if you suspect unauthorized access to your account.

Cutonce reserves the right to suspend or terminate accounts that show signs of unauthorized use, policy violations, or fraudulent activity.

7. Credits and Billing

Access to certain features of the Service requires the consumption of credits. Credits are purchased through Lemon Squeezy, which acts as the Merchant of Record for all transactions. All payment processing, invoicing, and tax collection is handled by Lemon Squeezy in accordance with their terms of service.

• No refunds. Credits are non-refundable except where required by applicable law. Unused credits do not expire but have no cash value.
• Credit costs. The credit cost of each operation is displayed in the application and may change at any time with notice provided through the Service.
• Seed credits. New accounts may receive complimentary seed credits upon registration. These are subject to the same terms as purchased credits and may be modified or removed at our discretion.
• Taxes. You are responsible for any applicable taxes not collected by Lemon Squeezy in your jurisdiction.

8. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Engage in market manipulation, insider trading, or any fraudulent financial activity.
• Scrape, crawl, or systematically extract data from the Service beyond normal use.
• Reverse engineer, decompile, or attempt to extract source code from the Service.
• Use automated means to access the Service in a manner that exceeds normal usage patterns.
• Transmit malware, viruses, or any code of a destructive nature.
• Resell or commercially redistribute outputs from the Service without our prior written consent.
• Use the Service in any way that could disable, overburden, or impair its infrastructure.

Violation of this section may result in immediate account termination without refund.

9. Intellectual Property

The Service, including its interface, design, software, and all underlying technology, is owned by ZIGGY VENTURES TECHNOLOGIES LTD and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

Pipeline configurations you create remain yours. By using the Service, you grant Cutonce a limited license to store and process your pipeline configurations solely for the purpose of providing the Service to you.

AI-generated outputs produced by your pipelines are provided to you for your personal or business research use, subject to the terms of the underlying AI providers (including Anthropic's usage policies).

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZIGGY VENTURES TECHNOLOGIES LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL;
• TRADING OR INVESTMENT LOSSES OF ANY KIND;
• DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, OR FROM ANY OUTPUTS, ANALYSIS, OR INFORMATION PROVIDED BY THE SERVICE;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO CUTONCE IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) USD $50.

11. Disclaimers and No Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY.

CUTONCE DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY DATA, ANALYSIS, OR OUTPUTS WILL BE ACCURATE, RELIABLE, OR CURRENT; OR (D) ANY ERRORS WILL BE CORRECTED.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK AND THAT YOU ARE SOLELY RESPONSIBLE FOR ANY INVESTMENT DECISIONS MADE USING OUTPUTS FROM THE SERVICE.

12. Indemnification

You agree to indemnify, defend, and hold harmless ZIGGY VENTURES TECHNOLOGIES LTD and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any investment or trading decision you make based on outputs from the Service.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at our sole discretion, with or without notice, for any reason, including if we reasonably believe you have violated these Terms.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including Sections 3, 4, 10, 11, 12, and 14) shall survive.

Remaining credits at the time of account termination for policy violations are forfeited without refund.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts located in Israel.

YOU AGREE TO WAIVE ANY RIGHT TO A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. All disputes must be brought in your individual capacity, not as a plaintiff or class member in any purported class or representative proceeding.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

15. Changes to Terms

We reserve the right to update these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page and, where appropriate, notify you via email or a notice within the Service. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
